1.4. By accepting the Agreement in the manner specified in clause 1.3 of the Agreement, the Customer confirms that he has read, agrees, fully and unconditionally accepts all the terms of the Agreement as set forth in the Agreement, including annexes to the Agreement, which are its integral part.

2.1. As per the Customer’s order (in accordance with the completed registration form) the Contractor shall render to the Customer the Services to render to him the services for the deployment of the AGI service (hereinafter referred to as the "Service") as per the terms and conditions stipulated herein.

2.2. The Contractor undertakes to ensure proper and safe conditions in the course of rendering the Services.

2.3. The Contractor guarantees that it possesses the necessary qualifications and relevant experience required for the provision of the Services.

2.4. The Contractor has the right to assign or delegate any of its right, duties, powers or responsibilities thereunder to third parties who shall comply with the criteria for high qualifications and experience necessary to provide the Services.

2.5. The Services are provided by the Contractor to the Customer via the Internet.

2.6. Upon the Customer's payment of 100 USD, the Contractor shall provide a demonstration fragment of the AGI service implementation.

2.7. Upon receiving the demonstration fragment of the AGI service implementation, the Customer may make a payment of 2,900 USD or more to gain full access to the functionality and implementation of the service.

2.8. To complete the implementation by the AGI service architect, the Customer undertakes to perform the registration actions of the Contractor's partner as provided by the Contractor.

2.9. The schedule for the provision of services is determined by the Parties.

2.10. The Customer shall accept the Services provided by the Contractor and effect payment for the Services in time and according to the procedure stated herein.

2.11. The Customer agrees with all quotas, prices, terms of payment for the services provided by the Contractor, stipulated by this Agreement.

2.12. The Customer hereby accepts all the conditions in terms of the volume and procedure for the provision of services, in terms of time and all other conditions expressly provided for by this Agreement.

2.13. The Customer shall at the request of the Contractor, timely and in full provide the necessary information to the Contractor, which is required as part of the proper and high-quality provision of the Services by the Contractor. 3.1. The cost of services under the Agreement is determined by the Parties according to the current prices indicated on the website leiaagi.com.

3.2. The Customer is deemed to have fulfilled his obligation regarding making payment:

- from the moment of the receipt of funds to the Contractor`s account or receipt by the Contractor in other legal methods of payment.
- subject to payment in strict accordance with the cost of the selected service of the Contractor indicated on the website leiaagi.com.

3.3. The cost of services may be amended by the Contractor unilaterally.

3.4. Methods of payment for the service are indicated when making a payment.

4.1. Agreement may be amended or terminated by mutual consent of the Parties made in writing.

4.2. The Contractor may terminate Agreement unilaterally in case of non-performance and / or improper performance by the Customer of its obligations to pay for the Services or violation of any other obligations under the Agreement as part of the provision of the Services committed by the Customer.

4.3. The Customer may terminate this Agreement by serving written notice to the Contractor by email. In case of early termination of the Agreement at the initiative of the Customer, the Contractor reserves the right to demand payment of the cost of the Services for the term within which the Services were actually provided.

The Contractor shall not be liable for breach of this Agreement if it is caused by circumstances related to force majeure, including but not limited to: natural disasters, war, governmental actions or any other events and actions beyond the reasonable control of the Parties.

The Contractor is not responsible for the non-compliance of the Services provided with the Customer's expectations, as well as for incorrectness and/or illegality and/or incompleteness of the information and documents provided by the Customer.

Parties shall keep confidential any financial, commercial and other information received from the other Party and take all reasonable efforts to prevent this information from being disclosed.

The Parties agree to settle any disputes arising out of execution, termination, expiration of this Agreement by negotiation. Any dispute arising in connection with this Agreement and which cannot be settled on an amicable basis shall be submitted to the exclusive jurisdiction of the Court of La Republica Italiana and settled in accordance with laws La Republica Italiana.

10.1. The Customer has all the rights and powers necessary for the conclusion and execution of the Agreement.

10.2. The Contractor reserves the right to change or supplement any of the terms of this Agreement at any time by publishing all changes on its website.

10.3. The Agreement shall be deemed effective from the moment and in the manner specified in clause 1.2 of the Agreement and shall stay in force until the Parties fully fulfill their obligations or termination of Agreement hereof whichever comes earlier.
